1. Acceptance of Terms

These Terms of Use constitute a legally binding agreement between you and WDW Tax Services, LLC. regarding your use of our client portal. By using the portal, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

• Review and sign engagement agreements for tax preparation services
• Complete tax questionnaires and provide necessary information
• Upload tax documents and supporting materials
• Communicate with our tax professionals
• Review the status of your tax return preparation

3. Account Security

You are responsible for:

• Maintaining the confidentiality of your email-based access
• Ensuring that one-time passcodes are not shared with unauthorized individuals
• Notifying us immediately of any unauthorized access to your account
• All activities that occur under your account

We implement security measures including encrypted connections and one-time passcode authentication. However, no system is completely secure, and you acknowledge this inherent risk.

4. Accuracy of Information

You agree to provide accurate, current, and complete information when using our portal. You understand that:

• The accuracy of your tax return depends on the information you provide
• You are responsible for reviewing your tax return before signing and filing
• Providing false or misleading information may result in penalties from tax authorities
• We rely on the information you provide and are not responsible for errors resulting from incomplete or inaccurate information

5. Professional Relationship

Your use of this portal is governed by a separate engagement agreement that outlines the scope of our professional services, fees, and mutual obligations. The portal facilitates but does not replace the terms of your engagement agreement.

We provide tax preparation services in accordance with applicable professional standards, including those established by the IRS and the American Institute of Certified Public Accountants (AICPA).

6. Tax Advice Limitations

Tax laws are complex and subject to change. While we strive to provide accurate and up-to-date information, you should not rely solely on portal content for tax planning decisions.

7. Intellectual Property

The portal and its contents, including but not limited to text, graphics, logos, and software, are the property of WDW Tax Services, LLC. or our licensors and are protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our portal without our express written permission.

8. Acceptable Use

You agree not to:

• Use the portal for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any portion of the portal
• Interfere with or disrupt the portal's functionality
• Upload malicious software, viruses, or harmful code
• Impersonate another person or misrepresent your identity
• Use automated systems to access the portal without our permission
• Share your account access with unauthorized individuals

9. Document Uploads

When uploading documents through the portal:

• You represent that you have the right to share the documents you upload
• You grant us permission to use the documents for the purpose of preparing your tax returns
• Documents are stored securely and subject to our Privacy Policy
• You should not upload documents containing information about individuals who have not authorized disclosure

10. Limitation of Liability

To the maximum extent permitted by law:

• The portal is provided "as is" without warranties of any kind, either express or implied
• We do not warrant that the portal will be uninterrupted, error-free, or secure
• Our liability for any claims arising from your use of the portal is limited to the fees you paid for our services during the twelve (12) months preceding the claim
• We are not liable for indirect, incidental, consequential, or punitive damages

11. Indemnification

You agree to indemnify and hold harmless WDW Tax Services, LLC., its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the portal, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your access to the portal at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the portal ceases immediately, but provisions regarding intellectual property, limitation of liability, and indemnification shall survive.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the portal shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action lawsuit.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the portal after such changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
